However, the central focus remains on the three core filings: AOC-4 (Financial Statement), MGT-7A (Abridge Annual Return), and the Annual General Meeting.<\/p>\n<p>\u00a0<\/p>\n<h1><span class=\"ez-toc-section\" id=\"I_ANNUAL_GENERAL_MEETING\"><\/span>I.\u00a0 <u>ANNUAL GENERAL MEETING:<\/u><span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p><strong>\u00a0<\/strong><\/p>\n<p>There is always dilemma that, whether OPC is required to hold Annual General Meeting or not?<\/p>\n<p>\u00a0<\/p>\n<h1><span class=\"ez-toc-section\" id=\"LEGAL_PROVISION\"><\/span>LEGAL PROVISION:<span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p><strong>\u00a0<\/strong><\/p>\n<p>Any business which is required to be transacted at an annual general meeting or other general meeting of a company by means of an ordinary or special resolution, it shall be sufficient if, in case of One Person Company, the resolution is communicated by the member to the company and entered in the minutes-book.<\/p>\n<p>\u00a0<\/p>\n<h1><span class=\"ez-toc-section\" id=\"IMPACT_OF_PROVISION\"><\/span><u>IMPACT OF PROVISION:<\/u><span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p><strong>\u00a0<\/strong><\/p>\n<p>As OPC having only one member, therefore OPC is not required to hold any General Meeting (EGM\/ AGM).<\/p>\n<p>OPC have to maintain minutes of Annual General Meeting as per (Section 122). Due date of AGM of OPC is 27th<\/p>\n<p>OPC just have to take note the resolution to be passed in General Meeting Like:<\/p>\n<p>\u00a0<\/p>\n<ul>\n<li>Adoption of Annual Accounts<\/li>\n<\/ul>\n<p>\u00a0<\/p>\n<ul>\n<li>Adoption of Directors Report<\/li>\n<\/ul>\n<p>\u00a0<\/p>\n<ul>\n<li>Appointment of Auditor. Etc.<\/li>\n<\/ul>\n<p>\u00a0<\/p>\n<h1><span class=\"ez-toc-section\" id=\"II_AOC-_4_FINANCIAL_STATEMENT\"><\/span>II.\u00a0 <u>AOC- 4 (FINANCIAL STATEMENT):<\/u><span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p style=\"text-align: justify; line-height: 102%; margin: 9.5pt 33.9pt .0001pt 5.0pt;\">\u00a0<\/p>\n<p>It is required to file within 180 days from the end of Financial Year. Due Date of AOC-4 is 27th September 2022.<\/p>\n<p>If AOC-4 filed after 27 September, there is additional fees of Rs. 100 per day.<\/p>\n<h1><span class=\"ez-toc-section\" id=\"Attachment_to_AOC-4\"><\/span>Attachment to AOC-4<span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p><strong>\u00a0<\/strong><\/p>\n<ul>\n<li>Financial Statement<\/li>\n<\/ul>\n<p>\u00a0<\/p>\n<ul>\n<li>Abridge Directors Report (As per rule 8A)<\/li>\n<\/ul>\n<p>\u00a0<\/p>\n<h1><span class=\"ez-toc-section\" id=\"III_MGT-_7A_ABRIDGE_ANNUAL_RETURN\"><\/span>III.\u00a0 <u>MGT- 7A (ABRIDGE ANNUAL RETURN):<\/u><span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p><strong>\u00a0<\/strong><\/p>\n<p>It is required to file within 60 days from the Date of AGM<\/p>\n<p><em>AGM can be held maximum Upto 27 September 2022.<\/em><\/p>\n<p>Due Date of MGT-7 is 26th November 2022.<\/p>\n<p>If MGT-7 filed after 26 November, there is additional fees of Rs. 100 per day.<\/p>\n<h1><span class=\"ez-toc-section\" id=\"Attachment_to_MGT-7A\"><\/span>Attachment to MGT-7A<span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p><strong>\u00a0<\/strong><\/p>\n<ul>\n<li>List of Director<\/li>\n<\/ul>\n<p>\u00a0<\/p>\n<ul>\n<li>List of Shareholder<\/li>\n<\/ul>\n<p>\u00a0<\/p>\n<h1><span class=\"ez-toc-section\" id=\"If_Date_of_AGM_is_extended_by_MCA_whether_Due_Date_of_AOC-4_of_OPC_shall_be_extend_or_not\"><\/span>If Date of AGM is extended by MCA, whether Due Date of AOC-4 of OPC shall be extend or not?<span class=\"ez-toc-section-end\"><\/span><\/h1>\n<p><strong>\u00a0<\/strong><\/p>\n<p>As OPC is not required to hold any AGM. Therefore, one can opine that, even if the date of AGM extended by the MCA, It will not impact the Due Date of AOC-4.
